1. Definitions

• "Service" - The SEO Agent platform for automated content creation and image alt text generation using artificial intelligence
• "User" - Any individual or legal entity using the Service
• "Content" - Any text, images, or media created using the Service
• "Account" - Your user account in the SEO Agent system

2. Acceptance of Terms

By using the Service, you agree to be bound by these Terms of Service in their entirety. If you do not agree to these terms, please discontinue use of the Service immediately.

3. Registration and Account

3.1 Account Creation

• You must provide accurate and current information during registration
• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activity that occurs under your account
• You must be at least 18 years old to use the Service

3.2 Account Security

You agree not to share your login credentials with others and to notify us immediately of any unauthorized use of your account.

4. Service and Trial Period

4.1 Trial Period

• New users receive a 7-day trial period
• During the trial period, you can create up to 5 articles
• At the end of the trial period, access to the Service will be limited until a subscription is purchased

4.2 Paid Subscriptions

• Subscription pricing is published on the website and subject to change
• Billing occurs monthly or annually based on your selection
• Subscription cancellation takes effect at the end of the current billing period

4.3 Shopify App Billing

• If you installed SEO Agent via the Shopify App Store, billing is handled through Shopify's billing system
• Your subscription status is governed by your Shopify app subscription
• Cancellation of the Shopify app subscription or uninstalling the app will deactivate the Service

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Create illegal, offensive, or misleading content
• Infringe upon the intellectual property rights of others
• Attempt to hack or damage the system
• Share or sell access to your account
• Use the Service to create spam or malicious content
• Collect information about other users

6. Intellectual Property

6.1 Ownership of Generated Content

You own the content created using the Service. You receive full rights to the content you create and may use it freely.

6.2 Ownership of the Platform

The Service, code, design, logo, and other SEO Agent assets are our exclusive property and protected by copyright.

7. Limitation of Liability

8a. Customer Responsibility for Outputs

Customer bears sole responsibility for compliance with all applicable laws regarding content created through the Service:

• Customer is responsible for reviewing, verifying, and approving all AI-generated content before publication.
• SEO Agent is not liable for any damage, fine, or claim arising from business decisions made based on the Service or its outputs.
• Use of Service outputs (articles, AI content, SEO recommendations) is at Customer's sole risk, including compliance with copyright, consumer protection, and advertising regulations.
• SEO Agent reserves the right to block access to the Service if usage is found to expose it to legal liability or sanctions.

8b. Indemnification

Customer agrees to defend, indemnify, and hold harmless SEO Agent and its officers, directors, employees, and agents from and against any claims, damages, legal costs, and penalties arising from:

• Customer's breach of these Terms of Service.
• Content published or distributed by Customer through the Service.
• Customer's use of the Service in violation of any applicable law.
• Customer's infringement of any third-party rights.
• Any business decision made based on Service data or outputs.

8c. International Sanctions

Customer represents and warrants that:

• Customer does not appear on any sanctions list maintained by OFAC (USA), the United Nations, the European Union, or any other international authority.
• Customer does not conduct business with entities or individuals subject to international sanctions.
• Customer will not use the Service for purposes prohibited under export control laws or international trade regulations.
• SEO Agent may immediately terminate the agreement without compensation if a violation of this section is discovered.

8. Service Termination

8.1 Termination by You

You may cancel your account at any time through account settings or by contacting us. Shopify merchants may uninstall the app via the Shopify admin panel.

8.2 Termination by Us

We reserve the right to suspend or close your account in cases of:

• Violation of these Terms of Service
• Illegal or abusive use of the Service
• Non-payment for subscription
• Suspicious or malicious activity

9. Changes to Terms of Service

We may update these terms from time to time. We will notify you of material changes via email or through the system. Continued use of the Service after changes constitutes acceptance of the updated terms.

10. Governing Law and Jurisdiction

These terms are governed by the laws of the State of Israel. Exclusive jurisdiction is granted to the courts of Tel Aviv-Jaffa.
